Organization, Management and Control Model
FIRMA has developed and adopted the Organisational, Management and Control Model pursuant to Legislative Decree 213/2001 that is updated according to changes in company organizational structure, operational and legislative integrations processes.
FIRMA has also established a Compliance Committee (“Organismo di Vigilanzaâ€) with its own statute, an autonomous organ aimed at supervising the functioning and observance of the Model within the Company employees and consultants on the contents of the Legislative Decree 231/2001 and how they are implemented.

The Code of Ethics: a high profile of social and moral responsibility
F.I.R.M.A. is a company that operates in a complex and constantly evolving market context, interacting with the scientific community healthcare professionals, patients, public bodies and structures, employees, suppliers and the community.
This entails a high-profile social and moral responsibility that imposes a framework of values based on ethics, transparency, fairness in business, high professional quality, and service orientation.
The company is based on these principles and has always been committed to defining and maintaining high levels of transparency in the management and conduct of business and, more generally, to promoting ethical behaviour and correctness in its relationships.
The management and all employees are deeply responsible for maintaining the culture of integrity, ethics, and transparency, strongly opposing attitudes and actions that could favour or even tolerate, directly or indirectly, behaviours not in line with the aforementioned culture.
For this reason the Company has adopted a Code of Ethics that clearly and in detail reinforces the principles outlined above. Every employee is required to respect and enforce said Code and to strengthen its application through compliant and responsible behaviour.

The Group’s Code of Conduct: integrity and ethics as the foundation of our actions.
The Menarini Group’s Code of Conduct lays down the values that inspire our Group in its work. In no way can the conviction of acting in the interests of Menarini, or of a directly or indirectly controlled company, justify the adopting of behaviours contrary to the principles set forth in the Code.

Reporting Channels to the 231 Supervisory Body
Fabbrica Italiana Ritrovati Medicinali ed Affini spa (FIRMA) has set up dedicated whistleblowing channels (as listed below) to the 231 Supervisory Body for encouraging any reporting of potential violations of the 231/2001 Model and/or relevant offences pursuant to Legislative Decree 231/2001:

The report will be handled with the utmost confidentiality and protection from any kind of retaliation and/or discriminatory behaviour of anyone who, in good faith, makes a report.
